1. Introduction
Welcome to CareSync.
These Terms of Use (“Terms”) govern your access to and use of the CareSync websites, mobile applications, web applications, administrative portals, provider interfaces, patient interfaces, APIs, digital services, communication features and other products or services that link to or incorporate these Terms (collectively, the “Services”).
The Services are provided by CareSync For Technology LLC, a company registered in Cairo, Arab Republic of Egypt (“CareSync,” “we,” “us,” or “our”).
By accessing or using any part of the Services, creating an account, clicking to accept these Terms, or continuing to use the Services after they are presented to you, you acknowledge that you have read, understood and agree to be bound by these Terms and our applicable Privacy Policy.
If you do not agree to these Terms, you must not access or use the Services.
2. Scope of These Terms
CareSync provides digital infrastructure that enables healthcare organizations and other authorized organizations to deliver, coordinate and manage digital healthcare experiences.
Depending on the applicable deployment, the Services may include functionality relating to:
- patient registration and digital access
- appointment discovery, booking and scheduling
- telemedicine and virtual consultations
- home healthcare coordination
- patient communication, reminders and follow-up
- provider workflows
- patient support and chronic-care programs
- consent and enrollment workflows
- case and task management
- administrative dashboards
- analytics and reporting
- integrations with authorized third-party systems
- mobile and web applications
- other functionality made available by CareSync from time to time
Certain Services may be provided to you through a healthcare organization, clinic, hospital, pharmaceutical company, patient support program operator, employer, insurer or other organization that has contracted with CareSync (each, a “Customer Organization”).
Where CareSync and a Customer Organization have entered into a master services agreement, subscription agreement, software license agreement, data processing agreement, business associate agreement, statement of work or similar written agreement (an “Enterprise Agreement”), the Enterprise Agreement governs the commercial relationship between CareSync and that Customer Organization.
If an Enterprise Agreement conflicts with these Terms, the Enterprise Agreement will control with respect to the subject matter of that conflict.
3. CareSync's Role
CareSync is primarily a healthcare technology platform provider.
Unless expressly stated otherwise in a separate written agreement, CareSync does not itself provide medical diagnosis, medical treatment, nursing services, pharmaceutical services, emergency services or other regulated clinical services.
Healthcare services accessed, scheduled, coordinated or delivered through the Services are provided by the applicable healthcare professionals, healthcare organizations or other authorized service providers.
The healthcare professional or organization providing care remains independently responsible for:
- clinical assessment and decision-making
- professional standards of care
- diagnosis and treatment
- prescriptions
- clinical documentation
- patient consent
- professional licensing and credentialing
- healthcare regulatory obligations
- compliance with applicable healthcare laws
CareSync does not direct or control the independent clinical judgment of healthcare professionals.
4. Not Medical Advice
Information made available through the Services, including educational material, reminders, notifications, health-related content, service descriptions, dashboards or automated workflows, is provided for informational, administrative or care-coordination purposes unless expressly provided to you by a licensed healthcare professional acting in a clinical capacity.
Nothing provided directly by CareSync should be interpreted as a substitute for professional medical advice, diagnosis or treatment.
Always consult an appropriately qualified healthcare professional regarding medical concerns and before making decisions relating to your health, treatment or medication.
You should never disregard professional medical advice or delay seeking medical attention because of information accessed through the Services.
5. Emergency Situations
Important: The Services are not an emergency medical service.
Do not use CareSync to request assistance for a medical emergency.
If you believe you or another person may be experiencing a medical emergency, immediately contact the emergency medical services applicable to your location or seek treatment at the nearest appropriate emergency facility.
Messages, appointment requests, chat functionality, telemedicine requests, notifications or other communications made through CareSync may not be reviewed immediately and must not be relied upon for emergency care.
7. Changes to These Terms
We may revise these Terms from time to time to reflect changes in our Services, technology, business practices, legal requirements or regulatory obligations.
When changes are material, we may provide additional notice where required by applicable law.
The revised Terms become effective on the date indicated at the top of the Terms unless otherwise stated.
Your continued use of the Services after updated Terms become effective constitutes your acceptance of those updated Terms to the extent permitted by applicable law.
8. Accounts and Registration
Certain Services require an account.
You agree to provide accurate, complete and current information when registering for or using the Services and to update such information where necessary.
You are responsible for maintaining the confidentiality of your account credentials and for activities performed through your account, except to the extent such activity results from circumstances for which CareSync is legally responsible.
You must not:
- share individual account credentials with unauthorized persons
- allow another person to impersonate you
- use credentials assigned to another individual
- attempt to circumvent authentication or access controls; or
- access information beyond the permissions assigned to your account
You must notify CareSync or the applicable Customer Organization promptly if you know or reasonably suspect that your account or credentials have been compromised.
CareSync may suspend or restrict access where reasonably necessary to protect users, Customer Organizations, the Services, information systems or data.
9. Role-Based and Organizational Access
Some CareSync deployments use permissions based on role, organization, program, department, branch, service or administrative responsibility.
Your access rights are determined by the configuration established for the applicable deployment and, where relevant, by the Customer Organization responsible for administering your access.
The fact that technical functionality is available within the platform does not give you permission to access or use data, records or features for which you have not been authorized.
You are responsible for using the Services only within the scope of permissions legitimately assigned to you.
10. Patient and Healthcare Information
CareSync Services may process personal information, healthcare-related information or other sensitive information depending on the applicable deployment.
The roles and responsibilities of CareSync and the relevant Customer Organization regarding such information depend on the nature of the Services, the applicable contractual relationship and applicable law.
Where a Customer Organization determines the purposes and means for processing information, that Customer Organization may act as the relevant data controller or equivalent regulated party, while CareSync may provide services in a processor, service-provider or comparable capacity where applicable.
Nothing in these Terms changes any obligations established in an applicable Enterprise Agreement or data-processing agreement.
For further information about how personal data is handled, users should review the applicable CareSync Privacy Policy and any privacy notice presented by the relevant Customer Organization.
11. Customer Organization Responsibilities
Where the Services are deployed for a Customer Organization, that organization is responsible for its own operations and regulatory obligations, including, where applicable:
- obtaining appropriate patient or user consents
- establishing lawful grounds for processing personal information
- maintaining appropriate clinical and operational policies
- determining authorized users and access rights
- maintaining appropriate professional licenses and credentials
- ensuring clinical workflows satisfy applicable requirements
- reviewing and validating configurations relevant to its operations
- managing healthcare records where required
- responding to patient or data-subject requests for which it is legally responsible
- ensuring that its use of CareSync is lawful in the jurisdictions in which it operates
CareSync's technology does not replace these responsibilities.
12. Telemedicine
Where telemedicine functionality is enabled, CareSync provides technology that facilitates communication between users and healthcare professionals.
CareSync does not guarantee that telemedicine is clinically appropriate for every medical condition or patient.
The treating healthcare professional remains responsible for determining whether a virtual consultation is clinically appropriate and whether an in-person examination, diagnostic test, referral or emergency evaluation is required.
Availability of telemedicine services may depend on provider availability, professional licensing requirements, geography, internet connectivity, Customer Organization policies and applicable law.
13. Home Healthcare and Other Physical Services
CareSync may facilitate requests, scheduling, communication or coordination relating to home healthcare or other services delivered at a physical location.
Unless expressly agreed otherwise, the professionals or organizations performing those services are responsible for professional delivery of the services, personnel qualifications, clinical decisions, scheduling confirmation and compliance with applicable professional and regulatory requirements.
Availability displayed through CareSync does not necessarily constitute final acceptance or confirmation of a service until confirmed through the applicable workflow.
14. Patient Support Programs
Certain CareSync deployments may support patient support programs (“PSPs”) or similar care-management initiatives.
Eligibility for participation in a particular program may be determined by the program sponsor, healthcare provider, program operator, payer or other responsible organization rather than CareSync.
CareSync does not guarantee eligibility, enrollment, financial assistance, medication access, reimbursement, therapeutic outcomes or continuation within any particular program.
Program rules and services may be subject to separate eligibility criteria, consent requirements and program-specific terms.
15. Communications, Reminders and Notifications
The Services may provide communications including appointment reminders, follow-up messages, push notifications, email, SMS, in-app messaging or other communications.
Such communications are intended to support engagement and coordination but should not be relied upon as the sole method for managing healthcare appointments, medication schedules, clinical follow-up or urgent healthcare needs.
Delivery may be affected by factors outside CareSync's reasonable control, including telecommunications networks, device settings, email providers, internet connectivity and third-party messaging services.
You remain responsible for maintaining accurate contact information and appropriately managing your healthcare activities.
16. Third-Party Services and Integrations
CareSync may integrate or interact with third-party products and services, including healthcare information systems, electronic health records, identity providers, communication services, video providers, payment systems, analytics systems, laboratories, pharmacies, logistics services and other authorized technologies.
Third-party services are governed by their own terms, policies and availability.
CareSync does not control third-party systems and is not responsible for their independent acts, omissions, availability, content, security practices or performance, except to the extent responsibility cannot legally be excluded or CareSync has expressly assumed responsibility under an applicable Enterprise Agreement.
17. Mobile Applications and App Stores
CareSync applications may be distributed through third-party application stores.
Your use of an application may therefore also be subject to applicable app-store terms.
Where a CareSync-powered application is provided under a Customer Organization's brand, the application may display additional Customer Organization terms, policies, branding or privacy notices.
18. Limited Right to Use the Services
Subject to these Terms and any applicable Enterprise Agreement, CareSync grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable right to access and use the Services solely for their intended and authorized purposes.
This right does not transfer ownership of any CareSync technology or intellectual property to you.
Enterprise rights to deploy, configure, white-label, integrate or otherwise use CareSync technology are governed by the applicable Enterprise Agreement.
19. Acceptable Use
You may use the Services only for lawful, legitimate and authorized purposes.
You must not use or attempt to use the Services to:
- violate applicable law, regulation or professional requirements
- access patient, provider, organizational or other information without authorization
- misrepresent your identity, qualifications, professional role or authority
- impersonate another individual or organization
- upload or distribute malicious code, malware or harmful software
- interfere with the availability, integrity, performance or security of the Services
- probe, scan or test system vulnerabilities without CareSync's written authorization
- circumvent access controls, authentication procedures or usage restrictions
- gain unauthorized access to systems, accounts, servers, databases or networks
- reverse engineer, decompile, disassemble or attempt to derive source code except where such restriction is prohibited by law
- scrape, crawl, harvest, extract or systematically collect information from the Services without written permission
- use bots or automated systems in a manner that materially burdens or compromises the Services
- copy, sell, sublicense, rent, lease, distribute or commercially exploit the Services except as expressly permitted under an Enterprise Agreement
- remove copyright, trademark or proprietary notices
- upload unlawful, infringing, fraudulent, defamatory or harmful content
- send spam, unauthorized marketing or unlawful communications; or
- facilitate activity that could reasonably threaten patient safety, privacy, security or the integrity of healthcare operations
CareSync may investigate suspected misuse and may cooperate with Customer Organizations, regulators, judicial authorities or law-enforcement authorities where legally required or permitted.
20. Intellectual Property
The Services, including their software, source code, object code, architecture, databases, interfaces, workflows, documentation, graphics, designs, text, logos, trademarks, product names, functionality and other materials, are owned by CareSync or its licensors and are protected by applicable intellectual-property laws.
Except for rights expressly granted under these Terms or an Enterprise Agreement, all rights are reserved.
“CareSync,” the CareSync logo and associated product names, designs and brand elements are trademarks or proprietary assets of CareSync or its licensors.
Customer Organizations retain ownership of their trademarks, logos, content and other materials provided to CareSync, subject to the limited rights necessary for CareSync to provide the contracted Services.
21. User and Customer Content
You or the applicable Customer Organization may submit, upload, transmit or generate information through the Services (“User Content”).
As between CareSync and the person or organization legally entitled to that content, ownership of User Content remains with that person or organization.
You grant CareSync only those rights reasonably necessary to host, process, transmit, display, secure, back up and otherwise handle User Content for the purpose of operating and providing the Services, subject to applicable privacy obligations and Enterprise Agreements.
22. Feedback
If you voluntarily provide suggestions, ideas or feedback regarding CareSync or the Services, CareSync may use that feedback to improve or develop its products and services without restriction or compensation, provided that CareSync's use does not violate confidentiality, privacy or contractual obligations applicable to the underlying information.
Do not include patient-identifiable or confidential information in general product feedback unless the applicable channel has been expressly authorized for that purpose.
23. Privacy and Data Protection
Your use of the Services is subject to the applicable CareSync Privacy Policy and, where relevant, privacy notices issued by the Customer Organization through which you access CareSync.
CareSync's data-protection and security obligations may also be governed by contractual arrangements applicable to a particular deployment.
Depending on the implementation, data residency, retention, integration, access, hosting and other controls may be configured differently.
25. Service Availability and Changes
CareSync aims to provide reliable Services but does not guarantee that every feature will always be available or uninterrupted.
Access may occasionally be affected by planned maintenance, product updates, infrastructure maintenance, third-party dependencies, security events, telecommunications failures, internet outages, force-majeure events or other circumstances beyond CareSync's reasonable control.
CareSync may modify, improve, replace or discontinue functionality where reasonably necessary for security, compliance, product improvement or business operations, subject to contractual commitments contained in an applicable Enterprise Agreement.
Service-level commitments, if any, are governed exclusively by the applicable Enterprise Agreement.
26. Suspension and Termination
CareSync may suspend or terminate access to the Services when reasonably necessary, including where:
- these Terms have been materially violated
- access presents a security or privacy risk
- use is fraudulent, unlawful or abusive
- continued use could threaten patient safety or system integrity
- access is no longer authorized by the applicable Customer Organization
- an applicable Enterprise Agreement terminates or expires; or
- suspension is required by law, regulation, court order or governmental authority
27. Fees and Enterprise Subscriptions
Access to certain CareSync Services may be provided under a paid subscription, enterprise license or other commercial arrangement.
Pricing, billing, subscription periods, renewal, usage limits, payment obligations, taxes and termination rights for enterprise customers are governed by the applicable Enterprise Agreement or order form.
End users accessing CareSync through a Customer Organization are not necessarily customers of CareSync for billing purposes.
28. Third-Party Content and External Links
The Services may contain links to third-party websites, platforms or content.
Links are provided for convenience and do not necessarily imply endorsement by CareSync.
CareSync does not control and is not responsible for independent third-party websites, services, information or privacy practices.
29. Geographic Availability
CareSync is operated by CareSync For Technology LLC, registered in Cairo, Arab Republic of Egypt.
The Services may nevertheless be offered or deployed for organizations operating in other jurisdictions, subject to contractual arrangements and applicable legal and regulatory requirements.
CareSync's availability, functionality, hosting model and deployment configuration may therefore vary by jurisdiction.
30. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR WARRANTIES EXPRESSLY PROVIDED IN AN APPLICABLE ENTERPRISE AGREEMENT, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
CARESYNC DISCLAIMS ALL WARRANTIES NOT EXPRESSLY PROVIDED, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LEGALLY BE DISCLAIMED.
CARESYNC DOES NOT WARRANT OR GUARANTEE ANY PARTICULAR CLINICAL, FINANCIAL, COMMERCIAL, OPERATIONAL, PATIENT-ENGAGEMENT OR HEALTH OUTCOME FROM USE OF THE SERVICES.
NOTHING IN THESE TERMS EXCLUDES RIGHTS OR WARRANTIES THAT CANNOT LAWFULLY BE EXCLUDED.
31. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CARESYNC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THE SERVICES, INCLUDING LOSS OF PROFITS, BUSINESS, REVENUE, GOODWILL, USE OR DATA, EVEN IF ADVISED THAT SUCH DAMAGES MAY OCCUR.
FOR ENTERPRISE CUSTOMERS, ANY ADDITIONAL LIABILITY LIMITS OR LIABILITY CAPS WILL BE GOVERNED BY THE APPLICABLE ENTERPRISE AGREEMENT.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
32. Healthcare Provider Responsibility
To the maximum extent permitted by applicable law, CareSync is not responsible for the independent professional acts or omissions of healthcare professionals or healthcare organizations using the platform.
CareSync does not guarantee the qualifications, availability, diagnosis, treatment decisions or clinical outcomes associated with any particular healthcare professional merely because that professional appears or communicates through the Services.
33. Indemnification
To the extent permitted by applicable law, if you use the Services on behalf of an organization, that organization agrees to defend, indemnify and hold harmless CareSync and its affiliates, directors, officers, employees and service providers from third-party claims, liabilities, damages, losses and reasonable costs arising from:
- its unlawful use of the Services
- its material violation of these Terms
- content or data submitted without appropriate rights or authority
- its violation of another person's rights; or
- its clinical, professional or regulated activities for which CareSync is not responsible
Any enterprise indemnification obligations contained in an Enterprise Agreement will take precedence over this section.
34. Export, Sanctions and Legal Restrictions
You may not use, export, re-export or otherwise make the Services available in violation of applicable trade controls, sanctions, export restrictions or other laws governing access to software or technology.
35. Governing Law and Jurisdiction
These Terms and any non-contractually superseded dispute arising from or relating to them will, subject to mandatory applicable law, be governed by the laws of the Arab Republic of Egypt, without regard to conflict-of-law principles.
CareSync is operated by CareSync For Technology LLC, registered in Cairo, Arab Republic of Egypt.
Unless a separate Enterprise Agreement establishes a different dispute-resolution mechanism, disputes relating to these Terms will be subject to the jurisdiction of the competent courts of the Arab Republic of Egypt, subject to any mandatory jurisdictional requirements under applicable law.
Enterprise customers should refer to their applicable Enterprise Agreement, which may establish different governing-law, arbitration or dispute-resolution provisions.
36. Severability
If any provision of these Terms is found by a court or other competent authority to be invalid, unlawful or unenforceable, that provision will be interpreted or enforced to the maximum extent legally permissible and the remaining provisions will continue in full force and effect.
37. Waiver
A failure by CareSync to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
38. Assignment
You may not assign or transfer your rights or obligations under these Terms without CareSync's prior written consent where such consent may legally be required.
CareSync may assign or transfer its rights and obligations in connection with a merger, acquisition, corporate restructuring, financing, sale of assets or similar transaction, subject to applicable law and contractual obligations.
39. Entire Agreement
These Terms, together with the applicable Privacy Policy and other policies expressly incorporated into them, constitute the agreement between you and CareSync concerning your general access to and use of the Services.
For enterprise customers, the applicable Enterprise Agreement, data-processing agreement, statement of work, order form and other executed contractual documents form the complete agreement regarding the contracted Services and will prevail where expressly applicable.
40. No Third-Party Beneficiaries
Except where expressly stated otherwise or required by applicable law, these Terms do not create enforceable rights in favor of any third party.
41. Electronic Communications
By using the Services, you acknowledge that agreements, notices, disclosures and other communications may be provided electronically where permitted by applicable law.
Electronic communications may satisfy legal requirements that communications be in writing, subject to applicable law.

43. Enterprise Customers
If your organization is considering or currently operating a CareSync deployment and requires information regarding security, privacy, data residency, integrations, regulatory responsibilities or contractual safeguards, please contact CareSync for the applicable technical, security and contractual documentation.
CareSync is designed to support regulated healthcare deployments through configurable technology, contractual controls and shared operational responsibilities.
Compliance remains dependent on the applicable deployment, jurisdiction, Customer Organization practices and contractual arrangement.
